Sphere AI - Terms of Service

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain the security of your password and identification.
• Notify Sphere AI immediately of any unauthorized use of your account.
• Be fully responsible for all activities that occur under your account.

• Creator Account: For individuals or entities listing Data for sale.
• AI Company Account: For companies purchasing Licenses to Data.

• Creators may list their original Data for sale on the Marketplace.
• Each Data submission must be original content created by the Creator. By listing Data, you represent and warrant that you are the sole author and owner of that Data and have all necessary rights to grant the License as described herein.
• Creators set the price for each Data listing.
• Creators must provide an accurate and truthful description of the Data.

Upon the successful purchase of Data by an AI Company, the Creator grants to the AI Company a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sublicensable, and transferable License to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the Data.

This License explicitly permits the AI Company to use the Data for the purposes of training and referencing their AI models, including but not limited to incorporating the data into their models, using it to generate responses to user queries, and referencing it in chats with users, in perpetuity.

The Creator retains copyright ownership of the Data but grants the broad License to the AI Company as specified.

• Creators set the price for their Data. Sphere AI may, at its discretion, provide guidance or recommendations on pricing, but the final decision rests with the Creator.
• Service Fee: Sphere AI charges a service fee equal to twenty percent (20%) of the net purchase price of each Data listing sold through the Platform. This fee will be automatically deducted from the payment due to the Creator.
• Payment Schedule: Payments to Creators will be made on the first business day of the month following the month in which the Data was purchased (e.g., Data sold in January will be paid on the first business day of February).
• Fraud Protection: Sphere AI reserves the right to withhold payments if it reasonably suspects fraudulent activity, including but not limited to suspicious purchasing patterns, disputed transactions, or violations of these Terms. Withheld funds may be held pending investigation and resolution of the suspected fraud.
• Additional payment processing fees may apply and will be disclosed to the Creator.

Once a Data listing has been successfully purchased and the License granted, the transaction is final. Creators acknowledge and agree that there are no refunds or reversals for purchased Data.

• Creators are solely responsible for the content of their Data.
• Data must not infringe upon the intellectual property rights of any third party.
• Data must not be defamatory, libelous, obscene, offensive, hateful, or otherwise unlawful.
• Sphere AI reserves the right to remove any Data that violates these Terms or our content guidelines, at its sole discretion, without prior notice.

• AI Companies can browse and purchase Licenses to Data listed by Creators on the Marketplace.
• By purchasing a License, the AI Company agrees to the terms of the License as defined in Section 3.2.

Upon successful purchase, the AI Company obtains a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, sublicensable, and transferable License to use the purchased Data.

This License specifically permits the use of the Data for training and referencing the AI Company's AI models, including incorporating the data into their models, using it to generate responses to user queries, and referencing it in chats with users, in perpetuity.

AI Companies may, under the scope of this License, modify, adapt, or create derivative works from the Data solely for the purpose of integrating it into their AI models and their functionalities.

• AI Companies agree to pay the listed price for each Data listing they wish to license.
• All payments are processed through Sphere AI's designated payment gateway.

All sales are final. Once an AI Company purchases a License to Data, the transaction is complete, and no refunds will be issued under any circumstances. AI Companies acknowledge and agree to this no-refund policy prior to making any purchase.

Sphere AI acts solely as a neutral marketplace facilitator between Creators and AI Companies. We do not create, endorse, or have any ownership interest in the Data listed on the Platform.

Sphere AI does not endorse any specific Creator, AI Company, or Data. Any references to third parties on the Platform do not constitute an endorsement or recommendation.

Sphere AI is not responsible for the content, accuracy, or legality of any Data listed by Creators. Creators are solely responsible for their content.

Sphere AI does not claim ownership of any data or content provided by Creators on the Platform. All ownership rights to the Data remain with the respective Creators, subject to the License granted to AI Companies upon purchase.

Sphere AI will not sell, license, or otherwise transfer any Creator's Data to any third party without the express written consent of the Creator. Our role is solely to facilitate the licensing transaction between Creators and AI Companies as described in these Terms.

THE PLATFORM AND ALL DATA AND LICENSES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SPHERE AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Creators retain copyright in their Data but grant the License as specified in Section 3.2.

All content, trademarks, service marks, logos, and other intellectual property displayed on the Platform (excluding Creator Data) are the property of Sphere AI or its licensors and are protected by applicable intellectual property laws. You may not use any of Sphere AI's intellectual property without our prior written consent.

These Terms, together with the Privacy Policy and any other legal notices published by Sphere AI on the Platform, constitute the entire agreement between you and Sphere AI regarding your use of the Platform.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Sphere AI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

These Terms and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Sphere AI without restriction.

Sphere AI reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.
